Mizerowski Thon & Parker' business practice is divided into two practice areas: transactional and commercial litigation. We represent both profit and non-profit businesses of all sizes – from single person entities, to multiple shareholder businesses, to large corporations governed by a board of directors.

Business Transactions

Mizerowski Thon & Parker, P.C.. is retained by individuals and businesses to assist in the many legal aspects involved in a company’s successful operation. The legal services we offer to our business clients include:

Commercial Litigation

We litigate commercial matters for the firm’s business clients including such various claims as: breach of contract; violation of non-competition agreements; business dissolutions; tortuous inference claims; contractor’s negligence; and breach of licensing agreements for local and multinational corporations. We also represent business clients in bankruptcy proceedings including adversarial claims to avoid the discharge of their claim by a debtor.

 

Business Succession Planning

We are able to assist our business client’s with their Business Succession Planning needs by initially meeting with our clients to obtain a clear understanding of their overall business and financial needs and desires. We then review any estate planning and business documents, while at the same time keeping in mind our client’s future business and financial requirements. Partnering with our clients tax professional, accountants, financial planners, business managers or other business professionals a strategy is developed and implemented to ensure the successful continuation of our client’s business to future generations of family or transitioning the business to a willing buyer.

Employment

We litigate employment disputes for employers including claims of discrimination, harassment and/or retaliation based on race, national origin, sex/gender, pregnancy, disability or age as well as claims based on the Whistleblowers Protection Act, Constitutional violations, Title VII violations, breach of employment contracts, Family Medical Leave Act and wage and hour disputes. We also work with our clients to avoid risks, including the development of personnel policies and standard operating procedures that will help insulate employers from claims. We conduct presentations and training to management and other employees to educate on compliance with employment issues.
